1. Agreement to these Terms
These Terms of Service govern your access to and use of Award Primed, including its website, opportunity-discovery tools, scoring and analysis features, pursuit-management tools, proposal-support tools, collaboration features, and subscription services. By creating an account, purchasing a subscription, or using the service, you agree to these Terms.
If you use Award Primed for a company or other organization, you represent that you have authority to bind that organization to these Terms.
2. The Award Primed service
Award Primed is subscription-based software designed to help businesses discover, organize, evaluate, and pursue public-sector contracting opportunities. Features may include public-opportunity search, Fit Scores, scope analysis, bid/no-bid support, historical or competitive indicators, saved searches, pursuits, team assignments, proposal-planning tools, templates, activity history, exports, and optional AI-assisted functions.
Award Primed is not affiliated with, endorsed by, or acting on behalf of SAM.gov, the U.S. General Services Administration, or any other government agency merely because the service displays or analyzes public government data.
3. No guarantee of awards or accuracy
Award Primed provides research, organization, and decision-support software. It does not guarantee that you are eligible for an opportunity, that a solicitation will remain open or unchanged, that a proposal will be compliant, that a price will be competitive, or that you will win or profit from any contract.
Government notices, amendments, deadlines, requirements, award records, incumbent information, and other public-source data can change without notice. You are responsible for reviewing the authoritative solicitation, amendments, agency instructions, and applicable laws and regulations before acting.
4. Accounts and security
You must provide accurate account information, keep access credentials secure, and promptly address suspected unauthorized access. You are responsible for activity conducted through your account or workspace to the extent permitted by law. You may not share access in a way that circumvents purchased seat limits or other plan restrictions.
Workspace owners and administrators may invite members and manage certain shared content and permissions. The workspace owner's subscription generally controls workspace-level plan access and seat capacity.
5. Subscriptions, billing, and renewal
Paid plans are billed on a recurring monthly or annual basis at the price shown at purchase. By starting a paid subscription, you authorize Stripe and Award Primed to charge the applicable recurring fees and any required taxes using the payment method associated with your account until the subscription is cancelled.
Subscriptions renew automatically at the end of each billing period unless cancelled. Where the customer portal is enabled, cancellation may be scheduled for the end of the current billing period. You retain applicable paid access through that period unless otherwise stated or required by law.
Except where required by law or expressly stated at the time of purchase, fees already paid are non-refundable. We may change future pricing or plan features with reasonable notice. Pricing changes apply prospectively as permitted by law.
6. Plans, limits, and fair use
Plans may include limits or allowances for scans, active pursuits, exports, company profiles, saved searches, seats, activity history, collaboration, proposal tools, AI actions, or other capabilities. Usage may be measured at the account or workspace level. Archived or otherwise excluded records may be treated differently from active records as described in the product.
Features described as high-capacity, large-capacity, or unlimited remain subject to reasonable technical and anti-abuse limits. You may not create duplicate accounts, automate abusive traffic, or otherwise evade usage, seat, entitlement, or billing controls.
7. Your content and data
You retain ownership of business information, notes, templates, proposal content, past-performance narratives, and other materials you submit to Award Primed, subject to any rights owned by third parties. You grant Award Primed a limited right to host, process, reproduce, and transform that content as necessary to operate, secure, improve, and provide the service to you and authorized workspace members.
You are responsible for ensuring that content you upload or enter may lawfully be processed and shared within your workspace. Do not upload classified information, export-controlled information, Controlled Unclassified Information requiring a compliance environment that Award Primed has not expressly agreed to provide, or other data that requires specialized handling unless Award Primed explicitly supports that use in writing.
8. Acceptable use
You may not use Award Primed to:
- Violate law, regulation, sanctions, procurement rules, or another person's rights.
- Misrepresent eligibility, certifications, past performance, socioeconomic status, security clearances, or other material facts in a government submission.
- Attempt to gain unauthorized access to Award Primed, another user's workspace, or third-party systems.
- Introduce malware, scrape or overload the service abusively, interfere with availability, or bypass technical restrictions.
- Resell, sublicense, reverse engineer, or systematically copy proprietary Award Primed functionality except where applicable law expressly permits it.
- Use generated or suggested content without reviewing it for truth, accuracy, responsiveness, and compliance.
9. AI-assisted and automated features
Some Award Primed features may use automated scoring, rules, or artificial-intelligence systems. AI-assisted outputs can be incomplete, inaccurate, or unsuitable for a specific procurement. You must independently review generated narratives, matrices, recommendations, summaries, and other outputs before relying on or submitting them.
10. Third-party services and sources
Award Primed relies on third-party services and data sources, including hosting, authentication, payments, and public government data. Those services may have their own terms, availability, and privacy practices. Award Primed is not responsible for changes, outages, inaccuracies, or decisions made by a government agency or third-party provider beyond our reasonable control.
11. Intellectual property
Award Primed, its software, design, branding, scoring methodology, product interfaces, documentation, and other proprietary materials are owned by or licensed to the operator of Award Primed and are protected by applicable intellectual-property laws. These Terms grant you a limited, revocable, non-exclusive right to use the service for your internal business purposes during an active entitlement.
12. Suspension and termination
We may suspend or terminate access where reasonably necessary for nonpayment, security, abuse, material breach of these Terms, legal requirements, or protection of the service or other users. You may stop using the service at any time and may cancel a paid subscription through available billing controls. Provisions that by their nature should survive termination—including payment obligations, disclaimers, limitations, intellectual property, and dispute provisions—will survive.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AWARD PRIMED IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR PUBLIC-SOURCE DATA WILL BE ERROR-FREE, COMPLETE, CONTINUOUS, OR SUITABLE FOR A PARTICULAR PROCUREMENT.
Nothing in Award Primed is a substitute for your own legal, accounting, tax, cybersecurity, procurement, or professional advice.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AWARD PRIMED AND ITS OPERATOR WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST CONTRACTS, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO AWARD PRIMED FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Award Primed and its operator from third-party claims, losses, or expenses arising from your unlawful use of the service, your submitted content, your government submissions, your violation of these Terms, or your infringement of another person's rights.
16. Changes to the service or Terms
We may update the service and these Terms as the product evolves. Material changes may be communicated through the website, service, or other reasonable means. Continued use after an updated version takes effect constitutes acceptance to the extent permitted by law.
17. Governing law and disputes
These Terms are governed by the laws applicable to the operator of Award Primed in the United States, without regard to conflict-of-law principles, except where applicable consumer law requires otherwise. Before filing a formal claim, the parties agree to make a reasonable good-faith effort to resolve the dispute informally through the published Award Primed support contact.
18. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent except as permitted by law; we may assign them in connection with a merger, reorganization, financing, or sale of the service or business.
